By accessing or using Punchup ("the Service"), operated by PunchUp Technologies ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Submitting your email address and clicking "Get Access" constitutes acceptance of these terms and creates a binding account.

2. Description of Service

Punchup is a B2B tool that enables comedy promoters, managers, and clubs to generate trackable landing pages for comedian tour dates. The Service provides link generation, analytics on page views and ticket click-through events, and access to comedian show data.

3. Account and Access

Accounts are created automatically when you sign in with your email address. Accounts are for business use only and are non-transferable. You are responsible for maintaining the security of your account and for all activities that occur under it. You must notify us immediately of any unauthorised use of your account.

4. Acceptable Use

You agree not to use the Service to generate links for events you do not have authorisation to promote, to distribute spam or misleading advertising, to impersonate comedians or their representatives, or for any unlawful purpose. You are solely responsible for ensuring you have appropriate authorisation from the comedian or their management to create and distribute pages featuring their name, likeness, and show information.

5. Third-Party Data and Links

The Service displays show data and links to third-party ticketing platforms. We do not guarantee the accuracy, completeness, or availability of third-party show listings or ticket inventory. Punchup is not affiliated with, endorsed by, or a representative of any ticketing platform unless explicitly stated. We are not responsible for the content, policies, or practices of any third-party websites linked from generated pages.

6. Analytics and Tracking

The Service tracks page views and ticket click events on generated comedian landing pages. This data is used to provide analytics to the account holder who created the link. By using the Service, you acknowledge and agree to this tracking. Analytics data is associated with the link, not with the identity of individual page visitors.

7. Intellectual Property

Comedian names, images, and likenesses used on generated pages are the property of the respective comedians or their representatives. You represent and warrant that you have all necessary rights and permissions to use any content included in pages you generate. Punchup does not warrant that use of comedian data constitutes an endorsement by the comedian or their representatives.

8. Limitation of Liability

To the maximum extent permitted by law, Punchup's total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve months preceding the claim, or £100 (whichever is greater). We are not liable for any indirect, incidental, special, consequential, or punitive damages.

9. Service Availability and Changes

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify users of material changes by email.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
